Business Ethics

Dycom is committed to the highest ethical standards, sound corporate governance practices and compliance with regulatory and legal requirements. We require the highest possible honest and ethical conduct in all aspects of our business from all of our employees, including Directors, executive management and Senior Financial Officers. In furtherance of these goals, the Board has adopted Corporate Governance Guidelines, a Code of Business Conduct and Ethics, and a Code of Ethics for Senior Financial Officers.

All employees are subject to Dycom’s Code of Business Conduct and Ethics, which they receive and sign upon hiring. The Code includes, but is not limited to:

  • Working with integrity, including a diverse workplace free from discrimination and harassment
  • Ethics and compliance with law standards
  • Protection of our assets and our reputation

These policies are intended to create a corporate environment that supports and encourages ethical and honest behavior, the avoidance of conflicts of interest, compliance with applicable laws and regulations and the prompt reporting of violations and concerns without fear of retaliation. An anonymous ethics hotline is available to all employees to report violations of the Code of Business Conduct and Ethics. Senior leaders review all reported violations, and the Board reviews a summary of any reported incidents.

Information Security

We believe cybersecurity is a business imperative. Dycom has developed a cybersecurity program that focuses on minimizing risk and the impact of vulnerabilities, as well as improving both preparedness and resiliency. We safeguard information and technology assets to prevent harm to our employees, our enterprise, our customers, and those whose information or assets are entrusted to us.

The Board of Directors’ Audit Committee has oversight of information technology and security matters at Dycom, which includes strategies, risk identification and mitigation, as well as data privacy and protection. The Company’s Chief Information Officer oversees an internal information security team, which works in partnership with the Company’s internal audit department to review information technology-related controls with our external auditors as part of the overall internal controls process. The Chief Information Officer also reports to the Board periodically on information security and any recent developments in the industry. Dycom also maintains a cyber insurance policy that provides coverage for security breaches.

Dycom’s information security plan includes:

  • Policies and security awareness training, including periodic employee phishing simulations
  • Identification and remediation of information security risks and vulnerabilities in our IT systems
  • Manage-Detect-Respond security operations infrastructure providing continuous cyber threat monitoring
  • Simulations and testing of incident response plans

Supply Chain

Our supply partners play a crucial role in our ability to deliver for our customers and communities. We partner with subcontractors and suppliers who deliver the highest quality, value and service, while maintaining the same ethical, safety and sustainability standards we hold ourselves accountable to. We engage regularly with key suppliers to assess their practices and ensure they are meeting our, and our customers’, standards.

Supplier Conduct and Compliance

Dycom has a zero-tolerance policy against unethical, unsafe and illegal conduct on the part of our supplier partners. All supplier partners are subject to our Supplier Code of Conduct which outlines our standards and expectations for socially responsible operations in support of Dycom’s business and values and compliance with applicable laws and regulatory obligations.

Concerns or violations regarding our subcontractor or supplier quality may be reported at any time by anyone via our Ethics Hotline or website.

Subcontractor and Supplier Diversity

Dycom is committed to building strong relationships with our subcontractors and suppliers. We recognize the need to foster and support supply chain growth to meet the evolving market landscape. We are committed to identifying and utilizing diverse subcontractors and suppliers and going even further to help these businesses grow and flourish. In fiscal 2022, the majority of CapEx, office supplies and electronics spend was sourced through vendors recognized as diverse.

Responsible Procurement

As part of Dycom’s commitment to sustainability, we have integrated sustainability requirements in our procurement as outlined in our Sustainable Procurement Policy. We are committed to reducing environmental impacts across our supply chain. We conduct procurement in an open and competitive manner, using fair and ethical business practices throughout our supply chain.

Corporate Governance

Dycom is committed to full compliance with New York Stock Exchange, Securities and Exchange Commission and other regulatory and legal requirements. In furtherance of these goals, our Board of Directors has adopted governance policies and procedures and written charters for each of its Audit Committee, Compensation Committee, Corporate Governance Committee and Finance Committee which form the governance framework for Dycom.
